注册协议

本喵聊注册服务协议是上海掌颐网络科技有限公司(下称“公司”)和用户(下称“您”)之间关于喵聊喵聊提供互联网信息服务事宜的权利义务(下称“本协议”)。请您在进行注册喵聊前仔细阅读本协议,确保您已充分理解本协议各条款的内容。除非您接收本协议所有条款,否则您无权使用本协议所涉服务。您现在在喵聊注册的行为,即表示您已经仔细阅读、充分理解并完全接受本协议各项条款的约束。

第一条 总则
1. 您是中华人民共和国公民且您须年满18周岁,且具有完全民事行为能力;不具备前述条件的,您应立即终止注册或停止使用。
2. 签署本协议前,您已充分知悉并理解喵聊(下称“喵聊”)的各项规则及要求,以及国家关于该类互联网服务的法律法规等。您对本协议下所有条款及定义等内容均已明确知悉,并无疑义。您有条件、能力、资格履行本协议约定的用户职责及义务。
3. 您在喵聊获取服务期间均应视为协议期内。您在注册或使用本协议过程中,需要填写或提交一些必要的信息以及提交材料供喵聊注册审核。若您提交的信息不完整或不符合法律法规规定或喵聊注册规定的,则您可能无法注册成功或在使用本服务的过程中受到限制。若您个人信息或联系方式产生变更,您须及时向喵聊注册更新。
4. 您承诺并声明在喵聊上提供注册服务时符合中华人民共和国(下称“中国”)及所在地法律规定,不得以履行本协议名义从事其他违反中国及所在地法律规定的行为。
5. 您与喵聊及所属公司不构成任何劳动法律制度层面的雇佣、劳动或劳务关系。
6. 您在喵聊使用期间产生的所有成果(包括但不限于注册,视频、音频,及与本协议事项相关的任何文字、视频、音频等,以下统称“用户成果”)的全部知识产权(包括但不限于著作权、商标权等知识产权以及相关的一切衍生权利)、所有权及相关权益,由公司享有。协议期内及协议期满后,公司可以自行使用用户成果并享有相应的收益。未经公司事先书面同意,您不得自行使用或授权给任何第三方以任何方式使用(包括但不限于在视频注册喵聊发布)及获得任何收益。

第二条 服务规则
1. 公司有权制定喵聊运营制度及管理规则,有权对您进行管理和监督,有权根据运营情况对相应规则做出调整和变更,您对此表示理解和同意。
2. 公司有权对您进行考核、评价(考核、评价标准包括但不限于注册时间长度、用户观看数量、用户支持度、用户投诉情况、违法违约情况等),以确定对您的奖励或处罚;如果您在喵聊上违反法律、法规或公司的管理规则,公司将采取惩罚措施(包括但不限于扣减虚拟道具,乃至封停您账户)。
3. 公司有权对您在喵聊上所有行为提出改进建议和意见,您在收到公司的建议或意见后24小时内进行相应的整改,否则公司有权采取前项所述惩罚措施。
4. 公司有权对您的在喵聊产生的内容的合法性进行审查。如果内容存在违法、违规、侵害公司或第三方合法权益的情形,公司有权采取停播、删除内容、注销账号、提供您在喵聊产生的一切内容,包括但不限于您上传的文字,声音,图片,视频等配合主管部门调查等措施。
5. 您同意公司无偿使用您的名称(包括但不限于您真实姓名、笔名、网名、曾用名及任何代表您身份的文字符号)、肖像(包括但不限于真人肖像及卡通肖像等)及在喵聊产生的文字,图片,视频,音频进行喵聊的各类宣传。

第三条 使用规则
1. 您承诺不会因履行本协议损害第三方合法利益或违法中国及您所在国的法律、法规等,您接受并履行本协议不违反任何对您有约束力的法律文件,亦不会使公司对任何第三方承担任何责任。
2. 您自己承担进行视频注册所需要的网络、支持视频和语音的设备等条件以及费用(包括但不限于为接入互联网而支付的电话费及上网费,为使用移动网络而支付的手机费),并保证注册图像和语音质量的清晰、稳定。
3. 您在喵聊提供文字、图片、音频、视频等服务和/或在本喵聊上发布的所有信息、资讯、言论等均不得含有任何违反中国有关法律、法规及规定的内容,包括但不限于危害国家安全、淫秽色情、虚假、诽谤、恐吓骚扰他人、侵犯他人知识产权、商业秘密或其他合法权益以及有违社会公序良俗的内容或指向这些内容的方式。
4. 您须提供真实、准确的个人身份信息及联系方式,以完成实名认证;若个人信息或联系方式有变化,您须及时更新在本喵聊的上述信息。
5. 您承诺积极维护公司及喵聊形象,您不得做出有损于公司和/或友喵聊形象或利益的行为。本协议期内及协议终止后,您不会通过任何渠道暗示或发布不利于公司及/或喵聊的言论、图片、视频等,不得以任何方式传播任何虚假信息,不得以鼓动喵聊用户等任何方式损害喵聊注册的利益,否则公司有权要求您进行赔偿(包括但不限于扣减虚拟道具等级,乃至直接封停您账户)。
6. 未经公司书面同意,您不得在任何场合以任何形式(包括但不限于文字、语音、视频、图片,背景、布景等)提及或展示第三方竞争喵聊的相关信息(包括但不限于其他注册喵聊的名称、LOGO、注册号、图片等),不得引导喵聊现有用户、其他您或公司员工进入其他第三方竞争喵聊或为其提供任何服务、信息或便利。否则公司有权对您的违约行为进行处罚。
7、注册喵聊后,如您自己与工作室、经纪公司或其他第三方机构建立合同关系,因此所产生的纠纷,均与喵聊无关,公司将不承担任何责任。
第四条 喵聊公约
为了使得您在喵聊上进行的注册和使用活动始终是健康安全的,同时使得喵聊能够良性健康的发展,我们制定了如下注册公约条款。注册公约包括但不限于以下内容,喵聊保留最终解释权。公约规定您不得发布和参与:
1.国家法律、法规和政策禁止的行为和内容:
(1)反对宪法所确定的基本原则的;
(2)危害国家安全,泄漏国家秘密,颠覆国家政权,破坏国家统一的
(3)损害国家荣誉和利益的;
(4)煽动民族仇恨、民族歧视,破坏国家团结的;
(5)破坏国家宗教政策,宣扬邪教和封建迷信的;
(6)散布谣言,扰乱社会秩序,破坏社会稳定的;
(7)散布淫秽、色情、赌博、暴力,凶杀、恐怖或者教唆犯罪的;
(8)侮辱或者诽谤他人,侵害他人合法权益的;
(9)不遵守法律法规底线、社会主义制度底线、国家利益底线、公民合法权益底线、社会公共秩序底线、道德风尚底线和信息真实性底线要求的;
(10)含有法律、行政法规禁止的其他内容的信息。触犯以上法律法规的您及用户,喵聊将立即封禁其账号和永久禁播,保存其有关违法信息,并向国家相关部门检举有犯罪嫌疑的用户及活动。
2.侵犯其他用户或者第三方合法权益的行为和内容:
(1)含有任何性或者性暗示,性诱导的;
(2)含有辱骂、恐吓、威胁内容的;
(3)含有骚扰、垃圾广告,虚假广告,恶意信息的;
(4)侵犯他人隐私、个人信息或资料的;
(5)侵犯他人名誉权,肖像权、知识产权、商业秘密等合法权益的;
(6)含有其他侵犯用户或者第三方合法权益版权内容的信息。
违反以上条款的您,视情节轻重予于禁播三天、禁播一周直至永久禁播处理;违反以上条款的用户,视情节轻重予与禁言,踢出注册间直至账号封禁。
3.扰乱喵聊社区喵聊秩序的行为和内容:
(1)在使用喵聊服务过程中抽烟、喝酒、使用违禁用品(枪支弹药毒品等),自残、暴力血腥等行为;
(2)驾车期间使用,其他危害自身及他人人身安全的行为;
(3)在使用喵聊过程中播放未经授权的电影、电视剧等内容;
(4)在使用喵聊过程中转播其他非喵聊注册的其他喵聊注册内容;
(5)在使用喵聊过程中宣传其他品牌,个人资料简介带有其他服务的个人账户信息及内容的;
(6)穿有带有中国国家机关人员、军队工作制服使用喵聊。包括但不限于警服、军服、工商制服、检察院制服、法院制服、城管制服、路政制服等;
(7)未成年人注册
(8)其他经过工作人员提醒禁止播放的内容
违反以上条款的您,视情节轻重予以封号一天、三天、一周直至永久封号,如果您产生违法行为,公司将提交您的信息和相关内容证据,配合相关国家机关调查。
第五条 安全承诺
1.公司负责提供您使用喵聊的功能,并提供喵聊技术服务支持。但公司不担保网络服务一定能满足您的任何要求,不担保网络服务时刻顺畅,不担保网络服务的及时性、安全性、准确性。
2.您实名认证的各项信息,公司安排专人进行保管。保证各项信息存储的安全性。不出售、篡改、泄露或违法公开用户个人信息。公司有义务告知用户实名认证信息的使用目的及使用范围。
3.对于播出涉政、涉枪、涉毒、涉暴、涉黄内容的您,情节严重的,公司除需要将此类您封号外,同时有权利将该用户信息加入黑名单,并将违规证据保全上交给主管部门。公司有权利对各公约组织、协会、主管部门公布的黑名单用户拒绝服务。
4.公司定期会进行自查自纠,完善喵聊内部管理制度和内容审核机制。同时配备充足的审核人员,对您的内容进行7*24小时监管。落实信息安全岗位责任和突发事件应急预案,人工及技术排查并举。
第六条 保密制度
1.应严格遵守公司的保密制度,承诺无限期保守公司的商业秘密。因您违反约定使用或披露公司商业秘密和信息使公司遭受任何名誉、声誉或经济上的、直接或间接的损失,您应当赔偿公司损失。
1.1商业秘密是指由公司提供的、或者您在双方合作期间了解到的、或者公司对第三方承担保密义务的,与公司业务有关的,能为公司带来经济利益,具有实用性的、非公知的所有信息。
2.您应严格遵守本协议,未经公司书面授权或同意,对公司的商业秘密不得:
(1) 以任何方式向第三方或不特定的公众进行传播、泄露;
(2) 为非本协议的目的而使用公司的商业秘密。
3. 本协议终止后,您应将公司的商业秘密全部返还,或在公司监督下,将记载公司商业秘密的全部文件销毁。
4. 本条款规定在本协议终止后仍然有效。
第七条 协议的变更、解除、终止
1. 公司有权在必要时变更、终止、中止本协议。
2. 双方就解除本协议协商一致,可终止本协议。
3. 您有以下情形之一,公司可以立即解除本协议:
(1) 公司发现您违反本协议所作的声明与承诺的;
(2) 因您个人行为直接或间接给公司利益造成重大损害的;
(3) 违反国家法律、法规的;
(4) 违反本协议约定的其它义务;
(5) 以消极、不作为等不符合公司要求的方式履行本协议,经公司通知后10日内仍未改正的;
(6) 因公司业务调整,不再进行个人您业务的。
4. 本协议终止后,不影响本协议约定的用户成果的权利归属,公司仍为本协议所涉用户成果的权利人。
第八条 违约责任
1. 任何因您的行为而侵害第三方合法权益,导致第三方向公司提起诉讼、索赔和/或导致公司声誉受损的,因此产生的全部直接及间接费用、损失及赔偿由您承担,包括但不限于公司为此支出的合理费用。
2. 因违反本协议下约定给公司造成的损失,公司有权要求您进行赔偿。
3. 若您提供的服务不符合本协议要求的,公司有权不支付您可能获取的服务报酬。
第三条 使用规则
第九条 争议处理
与本协议有关的任何争议,由双方协商解决。协商不成,应向协议签订地有管辖权的人民法院提起诉讼。
第十条 其他
1. 公司可以根据需要时时更新协议条款。更新后的协议条款一旦公布即代替原来的协议条款,公司将在第一时间将修改后的协议版本推送给您,您亦可在公司网站查阅最新版协议条款。如果您不接受更新后的协议条款,您将无法继续在公司喵聊进行视频注册。

Welcome!
We’re excited you’ve decided to use MeowChat, all of which we refer to simply as the “Services.”
We’ve drafted these Terms of Service (which we call the “Terms”) so you’ll know the rules that govern our relationship with you. Although we have tried our best to strip the legalese from the Terms, there are places where these Terms may still read like a traditional contract. There’s a good reason for that: These Terms do indeed form a legally binding contract between you and Shanghai Zhangyi Network Technology Ltd. So please read them carefully.
By using the Services, you agree to the Terms. Of course, if you don’t agree with them, then don’t use the Services.
ARBITRATION NOTICE: THESE TERMS CONTAIN AN ARBITRATION CLAUSE A LITTLE LATER ON. EXCEPT FOR CERTAIN TYPES OF DISPUTES MENTIONED IN THAT ARBITRATION CLAUSE, YOU AND Shanghai Zhangyi Network Technology Ltd. AGREE THAT DISPUTES BETWEEN US WILL BE RESOLVED BY MANDATORY BINDING ARBITRATION, AND YOU AND Shanghai Zhangyi Network Technology Ltd. WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
1. Who Can Use the Services
No one under 18 is allowed to create an account or use the Services. We may offer additional Services with additional terms that may require you to be even older to use them. So please read all terms carefully.
By using the Services, you state that:
You can form a binding contract with Shanghai Zhangyi Network Technology Ltd.
You are not a person who is barred from receiving the Services under the laws of the United States or any other applicable jurisdiction—meaning that you do not appear on the U.S. Treasury Department’s list of Specially Designated Nationals or face any other similar prohibition.
You will comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations.
If you are using the Services on behalf of a business or some other entity, you state that you are authorized to grant all licenses set forth in these Terms and to agree to these Terms on behalf of the business or entity. If you are using the Services on behalf of an entity of the U.S. Government, you agree to the Amendment to Terms of Service for Users.
2. Rights We Grant You
Shanghai Zhangyi Network Technology Ltd. grants you a personal, worldwide, royalty-free, non-assignable, nonexclusive, revocable, and non-sublicensable license to access and use the Services. This license is for the sole purpose of letting you use and enjoy the Services’ benefits in a way that these Terms and our usage policies, such as our Community Guidelines, allow.
Any software that we provide you may automatically download and install upgrades, updates, or other new features. You may be able to adjust these automatic downloads through your device’s settings.
You may not copy, modify, distribute, sell, or lease any part of our Services, nor may you reverse engineer or attempt to extract the source code of that software, unless applicable laws prohibit these restrictions or you have our written permission to do so.
3. Rights You Grant Us
Many of our Services let you create, upload, post, send, receive, and store content. When you do that, you retain whatever ownership rights in that content you had to begin with. But you grant us a license to use that content. How broad that license is depends on which Services you use and the Settings you have selected.
For all Services other than Live, Local, and any other crowd-sourced Service, you grant Shanghai Zhangyi Network Technology Ltd. a worldwide, royalty-free, sublicensable, and transferable license to host, store, use, display, reproduce, modify, adapt, edit, publish, and distribute that content. This license is for the limited purpose of operating, developing, providing, promoting, and improving the Services and researching and developing new ones.
Because Live, Local, and any other crowd-sourced Services are inherently public and chronicle matters of public interest, the license you grant us for content submitted to those Services is broader. In addition to granting us the rights mentioned in the previous paragraph, you also grant us a perpetual license to create derivative works from, promote, exhibit, broadcast, syndicate, sublicense, publicly perform, and publicly display content submitted to Live, Local, or any other crowd-sourced Services in any form and in any and all media or distribution methods (now known or later developed). To the extent it’s necessary, when you appear in, create, upload, post, or send Live, Local, or other crowd-sourced content, you also grant Shanghai Zhangyi Network Technology Ltd. and our business partners the unrestricted, worldwide, perpetual right and license to use your name, likeness, and voice. This means, among other things, that you will not be entitled to any compensation from Shanghai Zhangyi Network Technology Ltd. or our business partners if your name, likeness, or voice is conveyed through Live, Local, or other crowd-sourced Services, either on the MeowChat application or on one of our business partner’s platforms.

While we’re not required to do so, we may access, review, screen, and delete your content at any time and for any reason, including if we think your content violates these Terms. You alone, though, remain responsible for the content you create, upload, post, send, or store through the Service.
The Services may contain advertisements. In consideration for Shanghai Zhangyi Network Technology Ltd. letting you access and use the Services, you agree that we, our affiliates, and our third-party partners may place advertising on the Services. Because the Services contain content that you and other users provide us, advertising may sometimes appear near your content.
We always love to hear from our users. But if you volunteer feedback or suggestions, just know that we can use your ideas without compensating you.
4. The Content of Others
Much of the content on our Services is produced by users, publishers, and other third parties. Whether that content is posted publicly or sent privately, the content is the sole responsibility of the person or organization that submitted it. Although Shanghai Zhangyi Network Technology Ltd. reserves the right to review all content that appears on the Services and to remove any content that violates these Terms, we do not necessarily review all of it. So we cannot—and do not—take responsibility for any content that others provide through the Services.
Through these Terms and our Community Guidelines, we make clear that we do not want the Services put to bad uses. But because we do not review all content, we cannot guarantee that content on the Services will always conform to our Terms or Guidelines.
5. Privacy
Your privacy matters to us. You can learn how we handle your information when you use our Services by reading our Privacy Policy. We encourage you to give the Privacy Policy a careful look because, by using our Services, you agree that Shanghai Zhangyi Network Technology Ltd. can collect, use, and transfer your information consistent with that policy.
6. Respecting Other People's Rights
Shanghai Zhangyi Network Technology Ltd. respects the rights of others. And so should you. You therefore may not upload, post, send, or store content that:
violates or infringes someone else’s rights of publicity, privacy, copyright, trademark, or other intellectual-property right.
bullies, harasses, or intimidates.
defames.
spams or solicits our users.
You must also respect Shanghai Zhangyi Network Technology Ltd.’s rights. These Terms do not grant you any right to:
use branding, logos, designs, photographs, videos, or any other materials used in our Services.
copy, archive, download, upload, distribute, syndicate, broadcast, perform, display, make available, or otherwise use any portion of the Services or the content on the Services except as set forth in these Terms.
use the Services, any tools provided by the Services, or any content on the Services for any commercial purposes without our consent.
In short: You may not use the Services or the content on the Services in ways that are not authorized by these Terms. Nor may you help anyone else in doing so.
7. Respecting Copyright
Shanghai Zhangyi Network Technology Ltd. honors the requirements set forth in the Digital Millennium Copyright Act. We therefore take reasonable steps to expeditiously remove from our Services any infringing material that we become aware of. And if Shanghai Zhangyi Network Technology Ltd. becomes aware that one of its users has repeatedly infringed copyrights, we will take reasonable steps within our power to terminate the user’s account.
We make it easy for you to report suspected copyright infringement. If you believe that anything on the Services infringes a copyright that you own or control, please fill out this form. Or you may file a notice with our designated agent:

If you file a notice with our Copyright Agent, it must comply with the requirements set forth at 17 U.S.C. § 512(c)(3). That means the notice must:
contain the physical or electronic signature of a person authorized to act on behalf of the copyright owner.
identify the copyrighted work claimed to have been infringed.
identify the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed, or access to which is to be disabled, and information reasonably sufficient to let us locate the material. provide your contact information, including your address, telephone number, and an email address.
provide a personal statement that you have a good-faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
provide a statement that the information in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.
8. Safety
We try hard to keep our Services a safe place for all users. But we can’t guarantee it. That’s where you come in. By using the Services, you agree that:
You will not use the Services for any purpose that is illegal or prohibited in these Terms.
You will not use any robot, spider, crawler, scraper, or other automated means or interface to access the Services or extract other user’s information.
You will not use or develop any third-party applications that interact with the Services or other users’ content or information without our written consent.
You will not use the Services in a way that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the Services, or that could damage, disable, overburden, or impair the functioning of the Services.
You will not use or attempt to use another user’s account, username, or password without their permission.
You will not solicit login credentials from another user.
You will not post content that contains pornography, graphic violence, threats, hate speech, or incitements to violence.
You will not upload viruses or other malicious code or otherwise compromise the security of the Services.
You will not attempt to circumvent any content-filtering techniques we employ, or attempt to access areas or features of the Services that you are not authorized to access.
You will not probe, scan, or test the vulnerability of our Services or any system or network.
You will not encourage or promote any activity that violates these Terms. We also care about your safety while using our Services. So do not use our Services in a way that would distract you from obeying traffic or safety laws. For example, never MINUS and drive. And never put yourself or others in harm’s way just to capture a MINUS.
9. Your Account
You are responsible for any activity that occurs in your MeowChat account. So it’s important that you keep your account secure. One way to do that is to select a strong password that you don’t use for any other account.
By using the Services, you agree that, in addition to exercising common sense:
You will not create more than one account for yourself.
You will not create another account if we have already disabled your account, unless you have our written permission to do so.
You will not buy, sell, rent, or lease access to your MeowChat account, Live, MINUS, a MeowChat username, or a friend link without our written permission.
You will not share your password.
You will not log in or attempt to access the Services through unauthorized third-party applications or clients.

10. Data Charges and Mobile Phones
You are responsible for any mobile charges that you may incur for using our Services, including text-messaging and data charges. If you’re unsure what those charges may be, you should ask your service provider before using the Services.
If you change or deactivate the mobile phone number that you used to create a MeowChat account, you must update your account information through Settings within 72 hours to prevent us from sending to someone else messages intended for you.
11. Third-Party Services
If you use a service, feature, or functionality that is operated by a third party and made available through our Services (including Services we jointly offer with the third party), each party’s terms will govern the respective party’s relationship with you. Shanghai Zhangyi Network Technology Ltd. is not responsible or liable for a third party’s terms or actions taken under the third party’s terms.
12. Modifying the Services and Termination
We’re relentlessly improving our Services and creating new ones all the time. That means we may add or remove features, products, or functionalities, and we may also suspend or stop the Services altogether. We may take any of these actions at any time, and when we do, we may not provide you with any notice beforehand.
While we hope you remain a lifelong MeowChatter, you can terminate these Terms at any time and for any reason by deleting your account.
Shanghai Zhangyi Network Technology Ltd. may also terminate these Terms with you at any time, for any reason, and without advanced notice. That means that we may stop providing you with any Services, or impose new or additional limits on your ability to use the Services. For example, we may deactivate your account due to prolonged inactivity, and we may reclaim your username at any time for any reason.
Regardless of who terminates these Terms, both you and Shanghai Zhangyi Network Technology Ltd. continue to be bound by Sections 3, 6, 9, 10, and 13-22 of the Terms.
13. Indemnity
You agree, to the extent permitted under applicable law, to indemnify, defend, and hold harmless Shanghai Zhangyi Network Technology Ltd., our directors, officers, employees, and affiliates from and against any and all complaints, charges, claims, damages, losses, costs, liabilities, and expenses (including attorneys’ fees) due to, arising out of, or relating in any way to: (a) your access to or use of the Services; (b) your content; and (c) your breach of these Terms.
14. Disclaimers
We try to keep the Services up and running and free of annoyances. But we make no promises that we will succeed.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” AND TO THE EXTENT PERMITTED BY APPLICABLE LAW WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. IN ADDITION, WHILE Shanghai Zhangyi Network Technology Ltd. TAKES NO RESPONSIBILITY AND ASSUMES NO LIABILITY FOR ANY CONTENT THAT YOU, ANOTHER USER, OR A THIRD PARTY CREATES, UPLOADS, POSTS, SENDS, RECEIVES, OR STORES ON OR THROUGH OUR SERVICES. YOU UNDERSTAND AND AGREE THAT YOU MAY BE EXPOSED TO CONTENT THAT MIGHT BE OFFENSIVE, ILLEGAL, MISLEADING, OR OTHERWISE INAPPROPRIATE, NONE OF WHICH Shanghai Zhangyi Network Technology Ltd. WILL BE RESPONSIBLE FOR.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Shanghai Zhangyi Network Technology Ltd. AND OUR MANAGING MEMBERS, SHAREHOLDERS, EMPLOYEES, AFFILIATES, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR MULTIPLE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) THE CONDUCT OR CONTENT OF OTHER USERS OR THIRD PARTIES ON OR THROUGH THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT, EVEN IF Shanghai Zhangyi Network Technology Ltd. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL Shanghai Zhangyi Network Technology Ltd.’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID Shanghai Zhangyi Network Technology Ltd., IF ANY, IN THE LAST 12 MONTHS.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE EXCLUSIONS AND LIMITATIONS IN THIS SECTION MAY NOT APPLY TO YOU.
16. Arbitration, Class-Action Waiver, and Jury Waiver
PLEASE READ THE FOLLOWING PARAGRAPHS CAREFULLY BECAUSE THEY REQUIRE YOU AND Shanghai Zhangyi Network Technology Ltd. TO AGREE TO RESOLVE ALL DISPUTES BETWEEN US THROUGH BINDING INDIVIDUAL ARBITRATION.
1. Applicability of Arbitration Agreement. You and Shanghai Zhangyi Network Technology Ltd. agree that all claims and disputes, including all statutory claims and disputes, arising out of or relating to these Terms or the use of the Services that cannot be resolved in small claims court will be resolved by binding arbitration on an individual basis, except that you and Shanghai Zhangyi Network Technology Ltd. are not required to arbitrate any dispute in which either party seeks equitable relief for the alleged unlawful use of copyrights, trademarks, trade names, logos, trade secrets, or patents. To be clear: The phrase “all claims and disputes” includes claims and disputes that arose between us before the effective date of these Terms.
2. Arbitration Rules. The Federal Arbitration Act governs the interpretation and enforcement of this dispute-resolution provision. Arbitration will be initiated through the American Arbitration Association (“AAA”) and will be governed by the AAA Consumer Arbitration Rules, availablehere as of the date of these Terms, or by calling the AAA at 1-800-778-7879. If the AAA is not available to arbitrate, the parties will select an alternative arbitral forum. The rules of the arbitral forum will govern all aspects of this arbitration, except to the extent those rules conflict with these Terms. The arbitration will be conducted by a single neutral arbitrator. Any claims or disputes where the total amount sought is less than $10,000 USD may be resolved through binding non-appearance-based arbitration, at the option of the party seeking relief. For claims or disputes where the total amount sought is $10,000 USD or more, the right to a hearing will be determined by the arbitral forum’s rules. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
3. Additional Rules for Non-appearance Arbitration. If non-appearance arbitration is elected, the arbitration will be conducted by telephone, online, written submissions, or any combination of the three; the specific manner will be chosen by the party initiating the arbitration. The arbitration will not involve any personal appearance by the parties or witnesses unless the parties mutually agree otherwise.
4. Fees. If you choose to arbitrate with Shanghai Zhangyi Network Technology Ltd., you will not have to pay any fees to do so. That is because Shanghai Zhangyi Network Technology Ltd. will reimburse you for your filing fee and the AAA’s Consumer Arbitration Rules provide that any hearing fees and arbitrator compensation are our responsibility. To the extent another arbitral forum is selected, Shanghai Zhangyi Network Technology Ltd. will pay that forum’s fees as well.
5. Authority of the Arbitrator. The arbitrator will decide the jurisdiction of the arbitrator and the rights and liabilities, if any, of you and Shanghai Zhangyi Network Technology Ltd. The dispute will not be consolidated with any other matters or joined with any other cases or parties. The arbitrator will have the authority to grant motions dispositive of all or part of any claim or dispute. The arbitrator will have the authority to award monetary damages and to grant any non-monetary remedy or relief available to an individual under applicable law, the arbitral forum’s rules, and the Terms. The arbitrator will issue a written award and statement of decision describing the essential findings and conclusions on which the award is based, including the calculation of any damages awarded. The arbitrator has the same authority to award relief on an individual basis that a judge in a court of law would have. The award of the arbitrator is final and binding upon you and Shanghai Zhangyi Network Technology Ltd.
6. Waiver of Jury Trial. YOU AND Shanghai Zhangyi Network Technology Ltd. WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. You and Shanghai Zhangyi Network Technology Ltd. are instead electing to have claims and disputes resolved by arbitration. Arbitration procedures are typically more limited, more efficient, and less costly than rules applicable in court and are subject to very limited review by a court. In any litigation between you and Shanghai Zhangyi Network Technology Ltd. over whether to vacate or enforce an arbitration award, YOU AND Shanghai Zhangyi Network Technology Ltd. WAIVE ALL RIGHTS TO A JURY TRIAL, and elect instead to have the dispute be resolved by a judge.
7. Waiver of Class or Consolidated Actions. ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS. CLAIMS OF MORE THAN ONE CUSTOMER OR USER CANNOT BE ARBITRATED OR LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER OR USER. If, however, this waiver of class or consolidated actions is deemed invalid or unenforceable, neither you nor we are entitled to arbitration; instead all claims and disputes will be resolved in a court as set forth in Section 18.
8. Right to Waive. Any rights and limitations set forth in this arbitration agreement may be waived by the party against whom the claim is asserted. Such waiver will not waive or affect any other portion of this arbitration agreement.
9. Opt-out. You may opt out of this arbitration agreement. If you do so, neither you nor Shanghai Zhangyi Network Technology Ltd. can force the other to arbitrate. To opt out, you must notify Shanghai Zhangyi Network Technology Ltd. in writing no later than 30 days after first becoming subject to this arbitration agreement. Your notice must include your name and address, your MeowChat username and the email address you used to set up your MeowChat account (if you have one), and an unequivocal statement that you want to opt out of this arbitration agreement. You must either mail your opt-out notice to this address: Shanghai Zhangyi Network Technology Ltd., ATTN: Arbitration Opt-out, 63 Market Street, Venice, CA 90291, or email the opt-out notice to support@miaoliao.im.
10. Small Claims Court. Notwithstanding the foregoing, either you or Shanghai Zhangyi Network Technology Ltd. may bring an individual action in small claims court.
11. Arbitration Agreement Survival. This arbitration agreement will survive the termination of your relationship with Shanghai Zhangyi Network Technology Ltd.
17. Exclusive Venue
To the extent the parties are permitted under these Terms to initiate litigation in a court, both you and Shanghai Zhangyi Network Technology Ltd. agree that all claims and disputes, including statutory claims and disputes, arising out of or relating to the Terms or the use of the Services will be litigated exclusively in the United States District Court for the Central District of California. If, however, that court would lack original jurisdiction over the litigation, then all such claims and disputes will be litigated exclusively in the Superior Court of California, County of Los Angeles. You and Shanghai Zhangyi Network Technology Ltd. consent to the personal jurisdiction of both courts.
18. Choice of Law
Except to the extent they are preempted by U.S. federal law, the laws of California, other than its conflict-of-laws principles, govern these Terms and any claims and disputes arising out of or relating to these Terms or their subject matter, including tort and statutory claims and disputes.
19. Severability
If any provision of these Terms is found unenforceable, then that provision will be severed from these Terms and not affect the validity and enforceability of any remaining provisions.
20. Additional Terms for Specific Services
Given the breadth of our Services, we sometimes need to craft additional terms and conditions for specific Services. Those additional terms and conditions, which will be available with the relevant Services, then become part of your agreement with us if you use those Services.
21. Final Terms
These Terms make up the entire agreement between you and Shanghai Zhangyi Network Technology Ltd., and supersede any prior agreements.
These Terms do not create or confer any third-party beneficiary rights.
If we do not enforce a provision in these Terms, it will not be considered a waiver.
We reserve all rights not expressly granted to you.
You may not transfer any of your rights or obligations under these Terms without our consent.
These Terms were written in English and to the extent the translated version of these Terms conflict with the English version, the English version will control.
